Distance Selling Contract

This contract; is concluded between POLTEM AKADEMİ ARAŞTIRMA TEKNOLOJİ SAN. VE TİC. LTD. ŞTİ. (Seller) and the real or legal person (Buyer) who purchases services over the Poltem Academy platform.

This Contract covers the rights and obligations of the parties regarding the sale and performance of online surveys, digital or face-to-face interviews, field research and data collection services ordered by the Buyer on the Seller's website www.poltemakademi.com.tr.

• The seller is obliged to deliver participants suitable for the determined criteria through the platform or field operations.
• The Buyer has the right to examine and approve or reject the participant responses within a maximum of 3 (three) working days. Responses that are not processed at the end of this period are considered approved by the system assuming that 'the service has been performed'.
• In case of defective service (responses not from the target audience, etc.), the legal rights of the Buyer are reserved.

• Final Price: The total price of the service (including taxes and commissions) is clearly presented to the Buyer on the payment screen before the payment is confirmed. In consumer transactions (B2C), no price changes can be made after payment confirmation.
• Dynamic Pricing (B2B Exception): In corporate (B2B) transactions, price updates can be made according to operational cost increases with the prior written or digital approval of the parties. However, for individual consumers, the price at the time of payment is essential.

• In accordance with Article 15 of the Distance Contracts Regulation; the right of withdrawal cannot be exercised in contracts regarding 'Services performed instantly in electronic environment' and 'Goods/services prepared in line with the consumer's wishes or personal needs'.
• By approving the start of the performance of the service, the buyer is deemed to have accepted this exception to the right of withdrawal. A separate check box is provided on the payment screen for the waiver of the right of withdrawal.

• The seller is responsible for performing the service in accordance with the contract, completely and in the ordered quality.
• Poltem Academy's legal liability in cases of data breach or gross negligence cannot be limited to the service fee due to mandatory legal rules. However, in simple technical errors, the liability is limited to the fee paid by the Buyer for the relevant transaction.

The parties cannot be held responsible if the service cannot be performed due to force majeure such as natural disasters, cyber attacks, global internet outages that develop beyond the control of the parties. If the performance of the service becomes impossible, the Seller refunds the price paid within 14 days.

• In disputes arising from this Agreement; Consumer Arbitration Committees and Consumer Courts in the place of settlement of the Buyer or where the transaction was made are authorized up to the value announced by the Ministry of Trade every year.
• KARABUK Courts and Enforcement Directorates are authorized in commercial disputes (B2B).
